At the Barnes & Noble Member Program, we are strongly committed to protecting your privacy. We use the Membership information we collect to help us to provide a more personalized shopping experience and personalized discounts applicable to purchases at Barnes & Noble stores (Barnes & Noble, B. Dalton, Bookstar, Bookstop, Doubleday, Ink Newsstand, and Charlesbank) ("Barnes & Noble Stores") and online at Barnes & Noble.com (www.bn.com). This Member Privacy Policy tells you how the Member Program captures, handles and shares the information associated with your Membership.

1. Who are we?
The Barnes & Noble Member Program is a joint loyalty program of Barnes & Noble, Inc. and Barnesandnoble.com llc, a wholly-owned subsidiary of Barnes & Noble Inc. The Member Program is managed and controlled jointly by these two affiliated companies. These companies, in their capacity as co-managers of the Member Program, are referred to herein as the "Member Management Team."

2. What information is collected and how is it held?
When you enroll in the Member Program, the profile information you submit in the Member application (e.g., name, mailing address, email address, telephone number, communication preferences) is captured in a database dedicated to the Member Program (the "Member Database"). The Member Database is controlled and managed by the Member Management Team. When you use your Membership, the transaction information from the Barnes & Noble Store or online at www.bn.com (depending on where you conduct your purchase) is copied and stored in the Member Database. The Member Database is retained using security protocols to ensure protection from unauthorized access.

3. What privacy policy applies?
This Member Privacy Policy strictly governs the access and use of the information stored in that Member Database. Please be advised that the transaction information in the Member Database is only a copy of the transaction information from the purchases of Members at either the Barnes & Noble Stores or online at BN.COM; the original transaction data remains with the entity where each transaction takes place -- either a Barnes & Noble Store or online at BN.COM.

Because other privacy policies may also apply to a Member's transaction (for instance, the following policies may also apply to the transaction data: the Barnes & Noble Store Privacy Policy (see www.barnesandnobleinc.com/misc/privacy_policy.html) or the BN.COM Privacy Policy (see www.barnesandnoble.com/help/nc_privacy_policy.asp)). Also, depending on the payment method used for a particular transaction, that payment method provider (e.g., credit card company) may have a privacy policy that also applies to the transaction data. Please refer to those privacy polices for the details on how such entities use your transaction information.

4. How do we use the information we collect? How does a Member opt-out?
The information in the Member Database is generally used to process your Membership and provide you with Member benefits and services. The table below identifies how the information in the Member Database is used and how, if possible, a Member can opt-out of such use:

You can opt-out from receiving promotional email communications from the Member Management Team and trustworthy third parties at any time by calling the Member Service Center at 866-238-READ or by completing an Update Member Profile form at any Barnes & Noble Store. A Member can also opt-out by un-subscribing in the manner disclosed in a promotional email received by such Member.Please note that if you do elect not to receive these promotional email communications, you will not receive special coupons or discounts, invitations to private sales, or other special Member offers via email.
Promotional Direct Mail Communications from the Member Management Team and Trustworthy Third Parties.
Member contact information in the Member Database is accessible by the Member Management Team, Barnes & Noble, Inc. and BN.COM to communicate and promote discounts, products, services, and other offers to Members via direct mail. Additionally, from time to time, on limited bases, the Member Management Team may share Member Database information with trustworthy third parties so that such third parties can promote their products, services and offers to Members

We may provide to third parties from time to time aggregate statistical data about the purchases and traffic patterns of Members. Individualized Member data is not disclosed.

We send Member Database information to third-party subcontractors and agents that work on our behalf. These third parties do not have the right to use the Member Database information beyond what is necessary to assist us. They are contractually obligated to maintain the confidentiality and security of the Member Database information and are restricted from using such information in any way not expressly authorized by us.

Barclays Bank Delaware.
In connection with a Member’s application for and use of a Barnes & Noble MasterCard, we disclose Member information to Barclays Bank Delaware, the issuer of the Barnes & Noble MasterCard. Like subcontractors, Barclays does not have the right to use the Member Database information beyond what is necessary to assist us or to manage your Barnes & Noble MasterCard application and Barnes & Noble MasterCard use. Barclays is contractually obligated to maintain the confidentiality and security of the Member Database information and is restricted from using such information in any way not expressly authorized by us.

Credit Card Companies.
In connection with the charge of the Membership fee to a Member's credit, charge or debit card, we are required from time to time to disclose contact and card information to third-party financial institutions and their vendors to verify card number and to process the Membership fee charge.

Law Enforcement.
We release Member Database information when we believe, in our good judgment, that such release is reasonably necessary to comply with law, enforce or apply the terms of any of our policies or user agreements, or to protect the rights, property, or safety of the Member Program, Barnes & Noble Inc., BN.COM, our Members, or others.

5. Changes to this Member Privacy Policy
We may change the terms of this Member Privacy Policy at any time by posting a revised Member Privacy Policy on the Member Program website located at www.bn.com/membership. The changes will only affect the information we collect after the effective date of the change to our Member Privacy Policy unless we clearly state otherwise. You may view the current version of this Member Privacy Policy at any time online at www.bn.com/membership or you may obtain a copy of it by calling 866-238-READ (Members located outside of the U.S. should call 201-559-3886). Courtesy copies are also available at Barnes & Noble Stores; because of printing and distribution delays, however, always check the Member Program website (at www.bn.com/membership) for the most up-to-date version.
