La llamada "conversión del contrato nulo" constituye uno de los aspectos más delicados del equilibrio entre autonomía privada y ordenamiento jurídico. Según el CC italiano, "el contrato nulo puede producir los efectos de un contrato distinto, cuyos requisitos de sustancia y forma contenga, cuando, teniendo en cuenta la finalidad perseguida por las partes, deba considerarse que éstas lo habrían querido si hubiesen conocido su nulidad". El análisis de la figura se estructura en tres partes: la primera sigue la evolución histórica por la cual la conversión, creada por el Pandectismo alemán, termina siendo acogida en ciertos sistemas (Alemania, Italia), y rechazada en otros (Francia). En la segunda, se analiza el fundamento, esencia, función y mecanismo operativo de la conversión en el contexto de aquellos ordenamientos que la han acogido. La tercera se centra en el Derecho español, con objeto de determinar si la conversión, entendida como remedio de carácter general, es compatible con los principios básicos del sistema, y si su función última puede ser cumplida a través otras vías. La presente edición reproduce el texto de la obra original, publicada en 1994.
