Overview

Small Business Tax Planning is the essential handbook for the closely held business owner. For years, advisors have held the information that small business owners need in order to organize, operate, expand and transfer their closely held business or businesses. Should it be formed as a partnership, corporation or LLC? If as a corporation, should it be an "S" corp or a "C" corp? Should it switch from what it is now? With respect to operation, should it purchase the real estate it uses? What agreements do the owners need to protect the business and its continuation? What happens if one or all owners want to sell? How should the transfer be structured? What if there are family members interested in taking over control of the business? What if no family members are interested? What special estate planning issues need to be taken into consideration when planning for the owner of one or more closely held businesses?

Written by a tax and business planning expert who has owned and advised closely held businesses and their owners for over twenty-five years, this second edition of Small Business Tax Planning has been completely rewritten and updated for 2010.

If you are a small business owner who is not a tax expert, read this book. It will tell you what you need to know and what they should have taught you, but didn't!

Meet the Author

Richard Frunzi has his own consulting practice that specializes in tax and business consulting including advising on estate, financial and wealth planning, business tax planning, business sales and purchases, charitable and real estate tax planning.
Originally trained as both a tax attorney and a CPA, Richard now limits his practice to advising clients, here in Hawaii, in Canada and in the Far East on structuring transactions relating to real estate acquisitions, dispositions and development, international and U.S. estate planning as well as the formation of business entities for real estate and business purposes. It is the confluence of this experience, as well as his own ownership of closely held businesses over his adult life that give him a unique vision as to how the closely held business should be formed, operated, expanded and transferred by the current owners.

A great place to begin when starting a new business!

As an entrepreneur who is looking to start a new business, I went looking online for something to provide me guidance as to the structure of the company I will need to establish. While the websites I went to provided some basic information, Small Business Tax Planning was the first well written explanation of my choices. I feel certain that the rest of the book will be just as useful when my business gets there.

Well written and recommended for small business owners

As a small business owner I have been looking for something I could use to help me plan with respect to my business. The internet was a disappointment. Everyone was trying to sell something, rather than provide useful information. This book was what I was looking for. It gave me confidence that my current advisors had thought through my organization choice as an S corporation and it provided me with ideas on how I can begin now working on the transition of my business that I see will more than likely take three to five to seven years.
